1. Scope and Acceptance
These Terms & Conditions (“Terms”) govern access to and use of nekodensen.com (the “Site”) and purchases made through the Site.
The Site forms part of the cable business conducted in Japan under the business name ねこ電線 (the “Business”). NekoDensen Tokyo Japan and USAGI-ELECTRONICS! are sales brands of the Business. In these Terms, “NekoDensen,” “we,” “us,” and “our” refer to the legal operator of the Business identified in our Legal Disclosure under the Act on Specified Commercial Transactions (Japan).
By accessing the Site or placing an order through the Site, you agree to be bound by these Terms.
These Terms do not govern transactions concluded through third-party sales channels except where expressly stated. Such transactions remain subject to the terms and policies of the relevant sales channel, although separate warranty terms may independently apply to eligible products.

By using this Site or placing an order, you represent that you are at least the age of majority in your jurisdiction, or that you are using the Site with the consent of a parent or legal guardian.

We make reasonable efforts to ensure that product descriptions, specifications, and images are accurate. However, minor variations may occur due to display environments, component production lots, or the hand-assembled nature of our products.
All hand-assembled products may show slight cosmetic differences, color variations, or markings that do not affect functionality. Such variations shall not be considered defects.

Any import duties, value-added taxes (VAT), customs fees, brokerage fees, or any other charges or additional costs related to delivery, including but not limited to those imposed by customs authorities or arising from destination-specific regulations or circumstances, shall be the sole responsibility of the buyer, unless explicitly agreed and prepaid in advance.
By placing an order, the buyer is deemed to acknowledge and agree that NekoDensen shall not be responsible or liable for any such charges or costs incurred during or after shipment.
Refusal to pay applicable duties, taxes, or fees may result in delayed delivery, return, or abandonment of the shipment, and any resulting costs may be deducted from any refund or otherwise remain the buyer’s responsibility.
5. Orders and Contract Formation
Order confirmation does not constitute acceptance of an order. A contract is formed only after payment has been successfully processed and the order is confirmed by us.
We reserve the right to cancel or refuse any order due to stock unavailability, pricing errors, suspected fraud, or other reasonable circumstances.

Payments are processed through third-party payment providers or alternative payment methods, depending on availability.
We reserve the right to respond to chargebacks and disputes in accordance with information available to us, including shipment and delivery records.

Delivery times are estimates only and are not guaranteed. To the maximum extent permitted by applicable law, we are not responsible for delays, losses, or damage caused by carriers, customs authorities, force majeure, or other circumstances beyond our reasonable control.

9. Voluntary Warranty and Statutory Rights
Eligible completed cable assemblies may be covered by the separate NekoDensen / USAGI-ELECTRONICS! Limited Lifetime Workmanship Warranty (“Warranty”), subject to its separate Warranty Terms.
The Warranty is administered as a single warranty program of the Business across the NekoDensen Tokyo Japan and USAGI-ELECTRONICS! sales brands. It may apply to an eligible product originally purchased new through an Authorized Sales Channel, whether or not the purchase was made through this Site.
The Warranty Terms identify the legal provider of the Warranty and determine the eligible products, purchasers, sales channels, coverage, exclusions, remedies, and claim procedures under the Warranty.
The terms, policies, and buyer-protection programs of the relevant sales channel continue to apply to the original transaction. The Warranty does not replace or limit any right or remedy available under those terms, programs, or applicable law.
Except for this Warranty and any other voluntary warranty expressly stated by NekoDensen, NekoDensen provides no additional voluntary warranty. Nothing in these Terms or the Warranty Terms limits any right or remedy that cannot lawfully be excluded or limited.

10. Limitation of Liability
To the maximum extent permitted by applicable law, NekoDensen shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, revenue, data, business opportunity, or use, arising out of or relating to the Site, any order, or any product.
Where NekoDensen is liable for damages caused by ordinary negligence and applicable law permits such a limitation, NekoDensen’s aggregate liability arising out of or relating to the affected product or order shall not exceed the amount actually paid for that product or order.
The exclusions and limitations in this Section do not apply to liability arising from NekoDensen’s intentional misconduct or gross negligence; death or personal injury; liability imposed under applicable product liability law; or any other liability, right, or remedy that cannot lawfully be excluded or limited.
The limitations in this Section are separate from, and do not reduce, the repair or replacement remedies provided under the Warranty.
11. Intellectual Property
Unless otherwise stated, content created by or for NekoDensen and published on the Site—including original text, photographs, graphics, and logos—is owned by or licensed to NekoDensen and is protected by applicable intellectual property laws.
Nothing in these Terms transfers any intellectual property right to any user. Content from the Site may not be reproduced, distributed, modified, republished, or commercially used without prior written permission from NekoDensen, except as permitted by applicable law.
All third-party trademarks, brand names, product names, and logos appearing on the Site belong to their respective owners and are used solely for identification, compatibility descriptions, or other lawful informational purposes. No affiliation, sponsorship, authorization, or endorsement is implied.

You agree not to misuse the Site, including but not limited to engaging in fraudulent activity, automated data scraping, or any activity that interferes with the Site’s operation or security.
13. Governing Law and Jurisdiction
These Terms and purchases made through the Site are governed by and construed in accordance with the laws of Japan.
Nothing in these Terms limits any mandatory consumer protection or jurisdictional right that applies under applicable law and cannot lawfully be excluded by agreement.
To the extent permitted by applicable law, the Tokyo District Court or the Tokyo Summary Court, as applicable, shall have non-exclusive jurisdiction as a court of first instance over disputes arising out of or relating to these Terms, the Site, or purchases made through the Site.
14. Changes to These Terms
We may amend these Terms where the amendment is in users’ general interests or is reasonable in light of the purpose of these Terms and the relevant circumstances, including changes in applicable law, our business operations, the Site, or security requirements.
When these Terms are amended, we will publish the amended Terms, notice of the amendment, and the effective date on the Site or provide notice by another appropriate method.
Amendments apply from the stated effective date and will not retroactively reduce rights that have already accrued, except where the amendment benefits the affected user or is otherwise permitted by applicable law.
